Wholesale Policies, Terms and Conditions

Pricing

Wholesale pricing and terms are available to qualified independent sales representatives, retailers, medical offices, physical therapy clinics, durable medical equipment (DME) distributors, home medical equipment (HME) distributors, chiropractors, homecare organizations, distributors and approved e-commerce retailers, all conducting domestic business (in the United States). Individual consumers do not qualify. Company information will be verified for qualified reseller qualification. Sales driven through the BewellConnect Apps are excluded from this Policies, Terms and Conditions.

Minimum Orders

Initial minimum orders and bulk pricing discounts are available on request. Payments for initial orders are required upfront. All major credit cards are accepted. Please contact Sales@bewell-connect.com

Payment

Credit terms are available for subsequent order on approved credit check. Unless otherwise agreed and documented in writing, payment terms are set at net 30 for all qualified resellers. Payments will be applied to oldest balance first. Past due acounts will be charge an interest rate of 1.5% per month, and a collection fee of $250 will be assessed for each collection attempt. Shipments will be withheld and credit terms may be revoked upon the discretion of BeWellConnect, Corp. for past due accounts.

Shipping

Orders for in-stock items will be shipped within 24 – 48 hours from the receipt of a purchase order or order. Purchases will be shipped in the most cost effective means unless carrier preference and arrival time are requested. Shipping costs are based upon the order size, weight method of delivery and delivery location and can be estimated upon request. If your company has a preferred vendor, please let us know so we can utilize the favored carrier. Cut off time for order submission is 12PM, Monday through Friday.

We do not ship outside of the United States. Please contact us to obtain the contact details of our commercial partners outside of the United States.

Returns & Returns Authorizations

30 Day satisfaction guarantee. We offer a full money back refund on all products returned within 30 days of delivery. Defective products will require return authorization. Limited Warranty can be found here: BeWellConnect Limited Warranty . Please request RA # via email at sales@bewell-connect.com.

 

Shipment for returned products are not covered.

E-Commerce

Amazon, eBay and other online marketplaces are not available for e-commerce sales and distribution by third parties at this time. The company reserves the exclusivity to operate with such online marketplaces. In doubt, please consult and discuss the opportunity with at sales@bewell-connect.com. Qualified resellers may sell on their website.

MAP Policy
  1. Minimum Advertised Price. From time to time BewellConnect Corp. will provide lists of its products to which this Policy applies and the applicable Minimum Advertised Price for each. BewellConnect Corp. requires that Qualified resellers which it sells those products refrain from advertising said products in the current list at prices below the associated Minimum Advertised Prices. Products not specifically identified in those lists are not subject to this Policy.This Policy applies only to the advertised minimum prices of covered products. It is not meant to limit the prices at which any products are sold, or the advertisement of prices that are higher than the Minimum Advertised Prices.This policy applies to any and all forms of advertising to the general public, including but not limited to print ads, mailings, catalogs, displays, commercials, Internet websites and other Internet advertising. Advertising product-specific coupons, rebates, product giveaways, “name-your-price,” and other promotional offers that have the effect of lowering an advertised price below the Minimum Advertised Price is a violation of this Policy.
  2. Modification and Closeouts. BewellConnect Corp. reserves the right to modify, suspend, or discontinue this Policy, in whole or in part, at any time. This Policy does not apply to products that BewellConnect Corp. has identified as discount or closeout items in any published list.
  3. Violations. This Policy is not an agreement with BewellConnect Corp. Compliance is entirely voluntary. However, advertisement of a product at a price below its Minimum Advertised Price is a violation of this Policy. BewellConnect Corp. reserves the rights, if this Policy is violated, to reduce or terminate benefits that BewellConnect Corp. provides to the violator (including but not limited to promotions and advertising credits) or, in its discretion, to suspend or terminate its business relationship with the violator.
  4. Questions, and Reporting of Information Concerning Other Customers. If you have questions about this Policy, or wish to report information concerning prices advertised by another customer of BewellConnect Corp., please send an e-mail to Steve Traynor, Americas Business Development Manager at the email address of: straynor@bewell-connect.comThe advertised price(s) by qualified resellers will be periodically checked by an internal compliance team.
Purchase Terms & Conditions
  1. All orders are subject to acceptance by BeWellConnect, Corp., Inc. (“BeWellConnect”) BeWellConnect shall not be liable for any damages consequential, special, incidental, or otherwise for its failure to fill orders or for any error or delay in filling orders.

 

  1. Orders cannot be cancelled after they have shipped. If cancellations are necessary after the order is pulled but before it is shipped, requests must be made in writing. Cancelled and restocked orders are subject to a 15% restocking fee.

 

  1. All returns must be authorized in advance and in writing. Returns are honored on merchandise qualifying under BeWellConnect return policy.

 

  1. Purchaser shall make no warranties or guarantees with respect to the products purchased except as authorized by BeWellConnect in writing.

 

  1. BeWellConnect shall not be bound by any electronic or pre-printed terms additional to, or different from, those in this form that may appear in another party’s form documents, orders, acknowledgments or other communications. If there is any conflict between these terms and the terms of purchaser’s forms or website, these terms shall prevail.

 

  1. Purchaser agrees to indemnify and hold harmless BeWellConnect and its affiliates, from and against any claims, damages, judgments and liabilities asserted by any other person or entity, resulting from any act or breach by the purchaser.

 

  1. Title and risk of loss of products shall pass to the purchaser upon the earliest of: a) the time of delivery to a common carrier; b) when BeWellConnect has tendered delivery of the products, if the Reseller wrongfully fails to take delivery.

 

  1. Purchaser agrees to Advertising Policy as set forth in “Minimum Advertised Price” section of the BeWellConnect, Corp. Failure to adhere to the Advertising Policy according to its terms is a violation of the Advertising Policy and may result in a penalty per occurrence and loss of rights to resell BeWellConnect, Corp., products.

 

  1. Purchaser understands Reseller pricing, MAP, MSRP price and product availability are subject to change without notice, and that BewellConnect has a MAP policy.

 

  1. Purchaser understand that the result of sales driven through the BeWell-Connect Apps are excluded from this agreement.

 

  1. E-Commerce retailers must be approved in writing (email acceptable) for their specific e-commerce sales channels. Most marketplace channels are not available. All resellers determined to be selling BeWellConnect, Corp., products on e-commerce marketplaces such as, but not limited to, Amazon.com and eBay.com will lose BeWellConnect, Corp., reseller privileges and will also be subject to a penalty per day they are in violation of this policy. By signing below, you acknowledge and agree to the terms and conditions.

 

  1. All legal and attorney fee’s required to enforce the policies will be the responsibility of reseller that is found to be violation of the terms and conditions set forth above.

 

  1. Only BeWellConnect, Corp., and its authorized resellers and licensees may use the BeWellConnect, Corp., Logo in advertising, promotional, and sales materials. Such authorized parties may use the BeWellConnect, Corp., Logo only as specified in their agreement with BeWellConnect, Corp., and any associated Guidelines and such use must always be in conjunction with the appropriate terms that define the relationship authorized by their contract with BeWellConnect, Corp.,. Right to Modify
